These Terms of Use govern your access to and use of ANDX Pay and any related website, mobile application, interface, content, features, tools, and functionality made available by ANDX USA LLC and its affiliates in connection with ANDX Pay.

By accessing or using ANDX Pay, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use. If you do not agree to these Terms of Use, you must not access or use ANDX Pay.

ANDX Pay is made available by ANDX USA LLC as a digital wallet product. As of the date of these Terms of Use, ANDX Pay supports only USDC on the Base network. No other digital asset or blockchain network shall be deemed supported unless ANDX Pay expressly makes such support available. Any reference to possible future functionality is for general informational purposes only and does not constitute a commitment to make any additional asset, network, feature, or service available.

1. Eligibility

You may use ANDX Pay only if you are legally capable of entering into a binding agreement under applicable law and are not prohibited from accessing or using ANDX Pay under any applicable law, regulation, sanction, or governmental restriction.

By using ANDX Pay, you represent and warrant that you are not located in, organized in, ordinarily resident in, or acting on behalf of any person located in or subject to any jurisdiction or restriction that would make your use of ANDX Pay unlawful, and that you are not included on any restricted party list maintained by any competent governmental authority.

If you access or use ANDX Pay on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms of Use, in which case the term “you” includes both you and that entity.

2. Nature of the Service

ANDX Pay is a technology product. It is intended to facilitate access to supported wallet functionality in accordance with these Terms of Use.

At present, ANDX Pay is limited to functionality relating to USDC on the Base network. ANDX Pay does not represent or warrant that any other digital asset, token, stablecoin, blockchain network, protocol, bridge, wrapped asset, or smart contract is compatible with or supported by the service.

ANDX Pay is not a bank account, deposit account, payment account, securities account, brokerage account, investment advisory service, fiduciary service, or insured depository product. Neither the availability of ANDX Pay nor any interaction enabled through ANDX Pay shall be construed as a recommendation, endorsement, approval, guarantee, or representation regarding any digital asset, blockchain network, protocol, recipient, merchant, counterparty, or third-party service.

ANDX USA LLC may modify, expand, restrict, suspend, or discontinue any part of ANDX Pay at any time, to the fullest extent permitted by applicable law.

3. No Advice; No Fiduciary Relationship

Nothing in ANDX Pay or these Terms of Use constitutes legal advice, tax advice, accounting advice, investment advice, brokerage services, portfolio management, custody advice, or any recommendation to acquire, dispose of, transfer, receive, or hold any asset.

You are solely responsible for evaluating whether any transaction, transfer, use of USDC, or interaction with any blockchain address, merchant, protocol, smart contract, or third party is appropriate for you. Any decision to use ANDX Pay, to hold or transfer USDC, or to interact with blockchain functionality is made solely by you and at your own risk.

No fiduciary, advisory, agency, or similar relationship is created between you and ANDX USA LLC by virtue of your access to or use of ANDX Pay.

4. Access, Credentials, and Security

You are solely responsible for maintaining the confidentiality and security of your device, login credentials, authentication methods, wallet credentials, recovery materials, and any other means by which access to ANDX Pay may be obtained.

You acknowledge that blockchain transactions are generally irreversible and that loss, theft, compromise, disclosure, misuse, or unauthorized access affecting your credentials, device, recovery information, or access methods may result in permanent loss, partial loss, or unauthorized transfer of digital assets.

ANDX USA LLC shall not be responsible for any loss arising from phishing, malware, hacking, social engineering, SIM swap, credential compromise, account takeover, device compromise, unauthorized access, or any other security incident affecting you or your systems, except to the extent liability cannot lawfully be excluded under applicable law.

5. Supported Assets and Network Restrictions

ANDX Pay currently supports only USDC on the Base network. You must use ANDX Pay only in connection with supported assets and supported network parameters as expressly made available by ANDX Pay.

You must not send, attempt to send, or instruct any third party to send any unsupported asset, or any asset over an unsupported network, to any address or interface associated with ANDX Pay. You are solely responsible for verifying wallet addresses, network details, transaction instructions, asset compatibility, and all other transaction parameters before initiating any transaction.

Transfers involving unsupported assets, unsupported networks, incorrect wallet addresses, incompatible smart contracts, bridges, wrapped assets, or erroneous transaction instructions may result in permanent loss, failed settlement, delayed settlement, or inaccessibility of assets. ANDX USA LLC shall have no obligation to recover, trace, reverse, re-credit, replace, compensate, or otherwise remediate any such transaction or loss.

6. Blockchain, Stablecoin, and Technology Risks

Your use of ANDX Pay involves significant technological, legal, operational, and market risk. You acknowledge and accept the risks associated with blockchain networks, smart contracts, software defects, protocol failures, forks, chain reorganizations, outages, congestion, delayed confirmations, replay events, validator or sequencer issues, cyberattacks, transaction fee volatility, and failures or disruptions affecting third-party infrastructure.

You further acknowledge that USDC is a third-party stablecoin and is not issued by ANDX USA LLC. ANDX USA LLC does not control the Base network, the issuer of USDC, the reserves or redemption mechanics of USDC, the compliance controls applied by any stablecoin issuer, or the technical or legal operation of any third-party blockchain or protocol.

Any depegging event, blacklisting event, freezing event, redemption failure, smart contract failure, legal restriction, insolvency event, operational failure, regulatory action, or third-party service disruption affecting USDC, the Base network, or any related third party may impair your ability to access, transfer, receive, or realize value from your assets. You assume all such risks.

7. Transaction Finality

Transactions submitted to a blockchain network may be pending, delayed, rejected, dropped, replaced, accelerated, reordered, or permanently confirmed depending on network conditions, protocol rules, and third-party infrastructure.

Once a transaction has been confirmed on-chain, it may be impossible to reverse. ANDX USA LLC does not guarantee successful submission, propagation, confirmation, timing, ordering, settlement, or finality of any transaction.

You are solely responsible for reviewing all transaction details before initiating a transaction and for bearing the consequences of any transaction you authorize or cause to be initiated.

8. Fees

You are solely responsible for all gas fees, blockchain fees, validator fees, third-party fees, and any other costs associated with your use of ANDX Pay, unless ANDX Pay expressly states otherwise in writing for a specific feature.

ANDX USA LLC may introduce fees for certain features or functionality in the future, to the extent permitted by applicable law. Any such fees will apply only if and when made available by ANDX Pay under the applicable terms then in effect.

9. Third-Party Services

ANDX Pay may enable access to or interaction with third-party websites, applications, infrastructure providers, smart contracts, blockchain protocols, merchants, analytics providers, identity verification providers, payment providers, or other external services. Such services are not owned or controlled by ANDX USA LLC unless expressly stated otherwise.

ANDX USA LLC is not responsible for the availability, legality, security, performance, content, privacy practices, acts, omissions, or terms of any third-party service. Your interactions with any third-party service are solely between you and that third party.

The inclusion, integration, display, or accessibility of any third-party service through ANDX Pay does not constitute endorsement, approval, warranty, or assumption of responsibility by ANDX USA LLC.

10. Lawful Use and Compliance

You shall use ANDX Pay only in compliance with all applicable laws, regulations, sanctions programs, court orders, and governmental requirements.

You represent, warrant, and covenant that you will not use ANDX Pay in connection with fraud, money laundering, terrorist financing, sanctions evasion, unlawful gambling, market abuse, deceptive conduct, tax evasion, cybercrime, unauthorized access, intellectual property infringement, or any unlawful or prohibited activity.

You further represent, warrant, and covenant that any digital assets used by you in connection with ANDX Pay are lawfully owned or lawfully controlled by you and are not derived from unlawful conduct.

ANDX USA LLC may, to the fullest extent permitted by applicable law, implement screening, monitoring, access controls, restrictions, or other measures it considers necessary or appropriate for legal, regulatory, sanctions, fraud, security, or operational reasons.

11. Suspension and Termination

ANDX USA LLC may suspend, restrict, or terminate your access to ANDX Pay, in whole or in part, immediately and without prior notice, if it determines that your use of ANDX Pay presents legal, regulatory, sanctions, fraud, abuse, security, technical, reputational, or operational risk, or if you breach these Terms of Use.

ANDX USA LLC may also suspend, restrict, or terminate access where reasonably necessary to comply with applicable law, legal process, regulatory request, internal risk controls, or requirements imposed by relevant service providers or infrastructure participants.

You may stop using ANDX Pay at any time.

Any provision of these Terms of Use that by its nature should survive suspension or termination shall survive, including provisions relating to disclaimers, liability limitations, indemnification, governing law, dispute resolution, and general terms.

12. Availability

ANDX Pay may be unavailable from time to time due to maintenance, updates, technical issues, outages, security incidents, third-party failures, force majeure events, legal restrictions, or other causes.

ANDX USA LLC does not guarantee that ANDX Pay will be available on an uninterrupted, timely, secure, or error-free basis. Temporary or permanent interruption may occur without notice.

13. Privacy

Your use of ANDX Pay is also subject to the applicable ANDX Pay Privacy Notice, as amended from time to time, which describes how information relating to your access to and use of ANDX Pay may be collected, used, disclosed, and otherwise processed.

By using ANDX Pay, you acknowledge that you have reviewed the applicable ANDX Pay Privacy Notice.

You further acknowledge that blockchain activity is generally public and that wallet addresses, transaction details, and related blockchain data may be visible to third parties and may be linked, analyzed, or attributed.

14. Electronic Communications

By accessing or using ANDX Pay, you consent to receive communications from ANDX USA LLC electronically, including through the application, website, or by email where applicable. Such communications may include notices, disclosures, updates, legally required communications, and other information relating to ANDX Pay.

You agree that any such electronic communications satisfy any legal requirement that communications be provided in writing, to the extent permitted by applicable law.

15. Taxes

You are solely responsible for determining what taxes, if any, apply to your access to or use of ANDX Pay and to any transaction, transfer, receipt, or holding of digital assets associated with your use of ANDX Pay.

ANDX USA LLC is not responsible for determining, withholding, collecting, reporting, or remitting any taxes on your behalf, except to the extent required by applicable law.

16. Intellectual Property

As between you and ANDX USA LLC, ANDX USA LLC and its licensors own all right, title, and interest in and to ANDX Pay, including all software, interfaces, text, graphics, logos, trademarks, service marks, design elements, documentation, and related intellectual property rights, excluding only those rights that you may have in your own content or assets.

Subject to your compliance with these Terms of Use, ANDX USA LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use ANDX Pay solely for its intended purpose.

You shall not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, scrape, frame, exploit, or create derivative works from ANDX Pay except to the extent expressly permitted by applicable law notwithstanding this restriction.

17. Prohibited Conduct

You shall not use ANDX Pay in any manner that could damage, disable, overburden, impair, interfere with, or compromise ANDX Pay or any related systems or infrastructure.

You shall not attempt to bypass or defeat any security feature, access control, geographic restriction, screening mechanism, monitoring tool, or technical safeguard implemented in connection with ANDX Pay.

You shall not use automated scripts, bots, exploit code, malicious code, crawlers, scraping tools, or any unauthorized means to access or interact with ANDX Pay.

You shall not misrepresent your identity, affiliation, source of funds, ownership of assets, authority to act, or compliance status in connection with ANDX Pay.

18. Changes to the Service and These Terms

ANDX USA LLC may amend these Terms of Use from time to time. The updated version will become effective when made available, unless a different effective date is stated.

ANDX USA LLC may also change, add, remove, suspend, restrict, or discontinue any functionality of ANDX Pay at any time.

Your continued access to or use of ANDX Pay after updated Terms of Use become effective constitutes your acceptance of the updated Terms of Use. If you do not agree to the updated Terms of Use, you must cease using ANDX Pay.

19. Disclaimers

ANDX Pay is provided on an “as is” and “as available” basis, without any representation or warranty of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by applicable law, ANDX USA LLC disclaims all warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, availability, accuracy, completeness, reliability, or security.

Without limiting the foregoing, ANDX USA LLC does not warrant that ANDX Pay will meet your requirements, that any transaction will be successfully initiated, propagated, confirmed, completed, or recorded, that ANDX Pay will be compatible with any device, software, wallet, or protocol, or that defects, vulnerabilities, or errors will be identified or corrected.

20. Limitation of Liability

To the fullest extent permitted by applicable law, ANDX USA LLC and its affiliates, managers, officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or digital assets, whether arising in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, ANDX USA LLC and its affiliates shall not be liable for any loss arising from or relating to unsupported assets, unsupported networks, incorrect wallet addresses, user error, smart contract failure, protocol failure, blockchain failure, stablecoin depegging, blacklisting, freezing, transaction delay, transaction failure, third-party misconduct, security incidents, unauthorized access, or service interruptions.

To the fullest extent permitted by applicable law, the aggregate liability of ANDX USA LLC and its affiliates arising out of or relating to these Terms of Use or ANDX Pay shall not exceed the greater of one hundred U.S. dollars or the total amount of fees, if any, paid by you directly to ANDX USA LLC for use of ANDX Pay during the three-month period immediately preceding the event giving rise to the claim.

Nothing in these Terms of Use excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

21. Indemnification

You agree to indemnify, defend, and hold harmless ANDX USA LLC and its affiliates, managers, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your access to or use of ANDX Pay, your breach of these Terms of Use, your violation of applicable law, your infringement of any rights of any person or entity, or any dispute between you and any third party.

22. Governing Law and Jurisdiction

These Terms of Use and any dispute, claim, or controversy arising out of or relating to these Terms of Use or ANDX Pay shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

You agree that any action or proceeding arising out of or relating to these Terms of Use or ANDX Pay shall be brought exclusively in the state or federal courts located in Delaware, and you irrevocably submit to the jurisdiction of such courts and waive any objection based on venue or forum non conveniens.

23. General Terms

These Terms of Use constitute the entire agreement between you and ANDX USA LLC with respect to ANDX Pay and supersede all prior or contemporaneous understandings relating to the same subject matter.

If any provision of these Terms of Use is held to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

ANDX USA LLC may assign or transfer its rights and obligations under these Terms of Use without restriction. You may not assign or transfer any rights or obligations under these Terms of Use without the prior written consent of ANDX USA LLC.

No waiver of any breach or default shall be deemed a waiver of any prior, concurrent, or subsequent breach or default.
